| Kevin P. Duffy has served as President since May 2009. Additionally, Mr. Duffy continues to serve as Executive Vice President and Chief Financial Officer of our parent company, DEI Holdings, Inc.. He previously served Directed Electronics as Senior Vice President - Corporate Development and Marketing (2006 - 2007), Vice President (2003 - 2007), and as a consultant (2002 - 2003). From August 2001 to June 2003, Mr. Duffy attended the Stanford Graduate School of Business where he received a Masters of Business Administration. From August 2000 to January 2002, Mr. Duffy worked for ThinkTank Holdings LLC, a private venture capital firm located in Southern California, and one of its portfolio companies, as Vice President of Business Development and then as Executive Vice President. Mr. Duffy’s previous experience includes serving as Director of Strategy at Clarion Corporation of America, as well as consulting with Bain & Company and Deloitte & Touche. Mr. Duffy holds an A.B. in Economics from Princeton University. |

| Michael S. Simmons serves as Executive Vice President, Marketing and Product Development. He also serves as Executive Vice President of our parent company, DEI Holdings, Inc. Mr. Simmons previously served as President of Directed Electronics (June 2008 – June 2009). Mr. Simmons has led a variety of businesses and brings extensive experience in the automotive and consumer electronics industries to Directed Electronics. His previous roles include General Manager at performance car maker Saleen Inc, CFO of Sonance (a custom audio manufacturer), CEO of TechSpace (a technology infrastructure provider), and various management positions at Ford Motor Company and PricewaterhouseCoopers. He is a CPA, and he holds a BBA from the University of Michigan and an MBA from Northwestern's Kellogg School of Management. |

| Julien Joly has served as President of Directed Electronics Canada since February 2010. Mr. Joly previously served our Canadian team as Vice President & General Manager (June 2009 – February 2010) and Vice President Operations (September 2008 – June 2009). Prior to joining the Company, Mr. Joly worked as an integration consultant with merging companies Vigil Locating System Inc and Datacom Wireless Corp from August 2007 – August 2008. Mr. Joly co-founded Vigil Locating Systems Inc., where he served as President & CEO (2005 – 2007), Vice President Technology & Operations (2003 – 2005), and Director of Engineering & Operations (1999 – 2003). As an engineer, Mr. Joly worked with a contract manufacturing company specializing in GPS and communication technologies and with Bombardier Aerospace. Julien holds a Bachelor’s degree in Electrical Engineering from l’École Polytechnique de Montreal and an MBA from Sherbrooke University. |

| Glenn R. Busse has served as our Senior Vice President — Sales since January 2007. Mr. Busse has served our company in various capacities since joining our company in 1986 as Vice President of Sales and Marketing. Prior to joining our company, Mr. Busse served as the National Sales Manager of Black Bart Systems, a vehicle security company. Mr. Busse received his baccalaureate certification from Lycee Paul Langevin in Surenes, France and is fluent in French. |

| Arturas Rainys has served as our Director, Corporate Development & International Sales since June 2009. Previously, Mr. Rainys served the company as Corporate Development Manager, and Product Category Manager, since joining our company in 2005. Mr. Rainys has a broad background from a number of industries. His previous roles include Director of Inside Sales at DesignTech International, Key Account Manager at Lithuanian Telecom, and Sales Representative at Bristol-Myers Squibb in Lithuania. He holds BBA and MBA from Kaunas University of Technology, Lithuania, and is fluent in English, Lithuanian, and Russian. |

| Lindsay Sacks has served as Corporate Controller and Treasurer since November 2009. She previously served as Corporate Controller and as Assistant Corporate Controller, since joining the company in 2007. From 2006 - 2007, Ms. Sacks served as the Director of Revenue at a publically traded software company in San Diego. Ms. Sacks previously spent 8 years as an auditor at two Big 4 accounting firms, including two years as an Audit Manager at PricewaterhouseCoopers. Ms. Sacks received her B.S. from Santa Clara University and is a licensed CPA. |
